SECTION 6. The Board of Directors shall appoint the times of, and hold regular meetings. Special meetings shall be held when ordered by the President or by three Directors. Five shall be a quorum of the Board. SECTION 7. The Board of Directors shall make rules regulating the use of the rooms and property of the Club by members and guests, and for admitting guests, and may make rules not inconsistent with the Constitution for any other purpose, and prescribe and enforce penalties for their breach. SECTION 8. The Board of Directors may remit penalties in its discretion.

SECTION 9. Any member of the Board of Directors who shall be absent from three successive regular meetings without satisfactory explanation shall be deemed to have resigned.

ARTICLE IV

STANDING COMMITTEES

SECTION I. There shall be the following Standing Committees: House Committee, Library Committee, Entertainment Committee, Finance Committee and Committee on Admissions. Each of the foregoing shall be

of such number as the Board of Directors shall from time to time determine, and shall be appointed by the Board from its own members or from the Club at large; but at least one member of each shall be a member of the Board of Directors. Each Standing Committee, subject to the direction and control of the Board of Directors, may make rules for its own government, and to regulate the matters with which it is specially charged, and may prescribe and enforce penalties for their breach.

SECTION 2. The House Committee, subject to the direction and control of the Board of Directors, shall have charge of the Club rooms, employ and discharge servants, provide furniture and supplies and audit bills therefor. It shall consider complaints and suggestions of members, and report thereon to the Board of Directors.

SECTION 3., The Library Committee, subject to the direction and control of the Board of Directors, shall have charge of the Library and Reading Room, and of the books, papers, periodicals and works of art belonging to the Club, and may ask and receive gifts and purchase books, periodi

cals and works of art for the Club, to the amount authorized by the Board of Directors, and audit bills therefor.

SECTION 4. The Finance Committee shall audit the accounts of the Treasurer and report thereon to the Board of Directors. It shall have such additional powers and duties as the Board of Directors may prescribe.

SECTION 5. The Committee on Admissions shall have the entire charge of all applications for membership, shall direct the proper posting of the same, shall conduct all correspondence and investigations regarding the same, and shall report on them to each meeting of the Board of Directors. All its proceedings shall be secret.

ARTICLE V

NOMINATIONS

Before each annual meeting, the Board of Directors shall appoint a committee of five members who shall nominate candidates for President, Vice-President, Secretary, Treasurer, and Directors. The names of such candidates shall be posted in the house at least fifteen days before election. Any five members of the Club may nominate

other candidates for all or any such offices, but the names of all such candidates shall be posted in the house at least seven days before the election. No person shall be elected whose name is not so posted, unless no nominations are made and posted by a Nominating Committee, as hereinbefore provided, in which event any resident members of the Club may be elected except as heretofore provided.

ARTICLE VI

CLUB MEETINGS

SECTION I. There shall be an annual meeting of the Club on the last Thursday in September.

At the annual meeting the order of business, after the reading of the minutes, shall be:

α. The election of officers and of Directors. b. The reports of the Board of Directors and of Standing and Special Committees. C. General business.

SECTION 2. The President may, at any time, and upon the written request of fifteen resident members shall, call a special meeting of the Club. Such request, and the

notice of every special meeting, shall state the object for which it is called, and no subject not stated in the notice thereof shall be acted on at a special meeting.

SECTION 3. Notices of the annual and special meetings shall be posted in the Club rooms for at least ten days before such meetings, unless shorter notice be directed by the Board of Directors, and shall be mailed to the members.

SECTION 4. Twenty resident members shall be a quorum at any meeting of the Club, and none but members shall be present at any business meeting.

ARTICLE VII

QUALIFICATIONS AND CLASSES OF MEMBERSHIP SECTION I. Any man shall be eligible to membership in this Club who has received from a University or College registered by the Regents of the University of the State of New York an Academic, Scientific or Engineering degree, to obtain which, in regular course, at least three years' residence and study are required; or who shall have received an honorary degree from such University or College; or who shall have gradu
