CHAPTER 38.

AN ACT to legalize the jury lists selected and made up by the county board of supervisors of Trempealeau county.

The people of the state of Wisconsin, represented in senate and assembly, do enact as follows:

SECTION 1. The lists of grand and petit jurors selected and made up by the county board of supervisors of the county of Trempealeau at their adjourned annual meeting held in December, 1867, are hereby made and declared to be legal and valid jury lists, as fully in every respect as if all the provisions of law for the selecting of such jurors and the making up of such lists had been in all respects pursued and complied with; and it shall be the duty of the clerk of the circuit court of the county of Trempealeau to draw the of the grand names and petit jurors to serve at the several terms of the circuit court in said county for the year 1868, from the jury lists so selected and prepared by the said county board of supervisors of Trempealeau county.

SECTION 2. This act shall take effect and be in force from and after its passage.

AN ACT to incorporate the "Goodrich transportation company",

The people of the state of Wisconsin, represented in senate and assembly, do enact as follows:

SECTION 1. Albert E. Goodrich, William J. Whaling, Gregory Hurson, Albert Conro, Isaac A. Hasbrouck and such other persons as may associate with them, are hereby created and constituted a body cor

porate and politic with perpetual succession, under the name and style of the "Goodrich transportation and franchises. company," and by such name and style shall be capable in law of suing and being sued, pleading and being impleaded, answering and being answered unto, defending and being defended in all courts and places whatsoever, in all manner of actions, suits, complaints, matters and causes whatsoever; may adopt a common seal and alter and renew the same at pleasure, and shall have power and authority to acquire, hold possess and enjoy, both real and personal property, and may sell, rent, mortgage and convey the same at pleasure: providel, hoicever, that they shall only hold so much real estate as shall be necessary for the conducting of their business, or such as shall be acquired by them in receiving or collecting their debts. The affairs of the corporation shall be conducted by a board of directors, a majority of whom shall constitute a quorum for the transaction of business, and the said corporation shall have power to establish by-laws, rules and regulations for the management of its affairs, not inconistent with the constitution and laws of this state or of the United States, and shall like wise have power at all times to define the number of its directors and other officers and their respective duties, the place and time of their election. and term of office, and the manner of filling vacancies and making removals, and shall possess all other necessary powers incident to like corporations.

SECTION 2. The capital stock of said corporation Capital stoc. shall be one hundred thousand dollars, and divided into shares of one hundred dollars each, which capital stock may be increased by the board of directors to an amount not exceeding one million dollars; and the corporators named in the first section of this act, or a majority of them, may meet at such time and place as shall be mutually agreed upon between them, for the organization of the corporation, and they likewise may determine the time when subscriptions to the capital stock may be made, and the mode, manner and terms of payment of the money due or equivalent therefor, and of forfeiture thereof for non payment.

see fit; and to build for their own use, equip, furnish, fit, purchase, charter or own, steam, sail or other boats, vessels, or ships, or property to be used in the lawful business, commerce, trade or navigation upon the lakes, rivers, canals, or for land transportation, and for the carriage, transportation, or storing of lading, freight, mail, property, or passengers; and to build and construct all necessary warehouses, piers, docks, offices, marine railways and dry docks; and such corporation shall also have power to make insurance upon any goods, wares and merchandise or other property or commodities to be stored, carried or transported by such corporation; and to that extent and upon goods, wares and merchandise or other property or commodities carried, stored or transported by said corporation; to make every insurance connected with marine risks, and the risks of transportation and inland navigation and carriage, and in the lawful pursuit or conduct of the business aforesaid, said company may, in its corporate name and capacity, make and execute to and with any person, or persons, body politic or corporate, any and all contracts, writings, obligations and vouchers

SECTION 4. All elections for directors shall be by ballot, and each share of stock shall be entitled to one. vote and may be cast by the holder or proxy duly authorized, and the persons receiving the majority of votes cast shall be elected.

SECTION 5. The home port or office of said company shall be located at the village of Manitowoc, Wisconsin provided, however, that the board of directors shall have power at all times to change its locality to such other ports or places in Wisconsin, as in their judgment may promote the interests of the corporation. The board of directors shall have power to establish offices for the transaction of the business of said company at such places as they may deem expedient, and may by resolution or by-law appoint the times and places within this state for all meetings for election or for the transaction of business.

SECTION 6. The corporators names in the first section of this act, that is to say, Albert E. Goodrich, William J. Whaling, Gregory Hurson, Albert Conro and Isaac A. Hasbrouck, shall constitute the first board of directors of this corporation, and shall act as

such until others are elected, and they shall have power to fill any vacancies that may occur in the board by resignation or otherwise.

SECTION 7. It is hereby declared that in the judg ment of the legislature, the objects of this corporation cannot be obtained by or under general laws.

SECTION 8. This act shall take effect and be in force from and after its passage and publication. Approved February 8, 1868.

CHAPTER 40.

AN ACT to incorporate the South Side literary and library association of the city of Milwaukee.

The people of the state of Wisconsin, represented in senate and assembly, do enact as follows:

SECTION 1. James Porter, George H. Paul, George Corporators. Burnham, G. B. Seaman, George McWhorter, James Douglas, Willam H. Decker, C. J. F. Whitney, Charles H. Larkin, Euclid Worden, John Bentley, E. B. Simpson, John Hiles, J. M. Stowell, Wm. Goodnow and their associates and successors, are hereby created a body corporate and politic by the name of the South Name. of said association, who shall be elected annually to
their respective offices by such members of the associa-
tion not indebted thereto, as shall by the rules and
regulations thereof, be entitled to vote at such elect-
ions; and all real and personal property, funds or se-
curities now held or hereafter acquired by the persons
herein named, or by either or any of them, or by any
other person or persons in trust for said assocation, or
for the use or benefit of the same, including all debts
due or to become due to the same from the members
thereof, for stated dues in arrears, fines or otherwise, or
from any
other person or persons, shall vest in and be-
come the property of, and may be sued and recovered
in the name of the said association hereby created.

SECTION 3. Within two weeks after the approval and passage of this act, an election shall be held by the persons herein named, and officers shall be chosen to fill the offices of said association, who shall be entitled to hold their respective offices until the third Tuesday in April, 1868, or until their successors are Notice of elec- legally elected and qualified: provided, that notice of said election shall be given by publication in one of the daily newspapers of the city of Milwaukee, at least one week previous to the day appointed for said election; and the board of officers thus chosen, after entering on the duties of their respective offices, shall immediately form and adopt a code of rules for the government of the said association, which shall be of full force and effect as the rules of the said association, so far as the same are consistent with the provisions of this act and not inconsistent with the constitution and and laws of the United States or the constitution of the state of Wisconsin, until the same are legally altered or amended

SECTION 4. The annual election of the said association shall be held at the library rooms thereof, on the third Tuesday of April in each year, notice of which election shall be given in the same manner as provided in the third section of this act.

SECTION 5. The board of officers shall have power to fill vacancies in the several offices, and to appoint and remove such subordinate officers, agents or servants as the business or interests of the said association may in their opinion require.
