ize them to sell the books remaining on hand at public auction, in this city.-Until they are disposed of, the Board are of opinion that the copy-right to the Memoirs could not advantageously be sold. Albany and Schenectady Turnpike Company. The General Synod were the owners of four shares in the stock of this company. The president and directors of the company were authorized by an act of the Legislature, to construct a railway on part of their road. And the stockholders, in consequence, had their election, either to transfer their stock to the company, and receive $16 80 per share; being their proportion of the valuation of said turnpike; or to pay an additional sum of $188 20 on each share, to complete the rail-road. The Board elected to accept their proportionate share of such valuation; and have sold and transferred the said four shares at $22 50 per share; amounting to $90, which money is in the hands of the Treasurer. Rev. Staats Van Santvoord. The Board regret to state to Synod, that they have not been able to effect a settlement with Mr. Van Santvoord of his accounts; they have repeatedly requested him to meet with them for that purpose, and are of opinion that it is not his intention so to do: and therefore, that it is in vain for them to correspond any more with him on the subject; and they respectfully request that they may be discharged from any further duties in this matter. The Board herewith send to Synod, a detailed account of their correspondence with Mr. Van Santvoord, including a letter lately received from him, to which they have returned no answer, but respectfully submit the same to General Synod for their considera tion. Agent of this Board. The Board appointed Mr. William Schuneman their Agent for the past year, to collect the outstanding subscriptions; as well as those on the old lists, as those heretofore obtained by himself, by Mr. Van Santvoord, and by the Rev. Mr. Schermerhorn, for the Theological Seminary, as to obtain new subscriptions and donations for that purpose. The report of Mr. Schuneman, which will be sent to Synod herewith, will show what have been the amount of his operations during the past year; and that a considerable amount remains yet uncollected. And the Board are of opinion that if no measures are taken to collect the same, the whole will probably be lost; they therefore respectfully suggest to Synod, the propriety of authorizing the Board to continue said agent for another year, as he is best acquainted with the subject; or to appoint some other person should he decline serving, to collect the said outstanding subscriptions and obtain donations; and to allow him a suitable commission on the sums he may collect and pay into the hands of the Treasurer, instead of a fixed salary. Accounts. The Board find in the Minutes of General Synod under this head, page 394, the Report of the Committee on Accounts, setting forth that the accounts of the Board of Corporation were not accompanied with any vouchers committed to them, neither does it appear that the accounts have been audited; or that any Committee has ever been appointed for the purpose of auditing their accounts; that therefore, the Committee, although they presume that all of them are correct, have it not in their power to ascertain and certify the fact that they are so." Whereupon, Synod resolved, " that an Auditing Committee shal! be appointed to audit said accounts annually, before they are presented to Synod ;" and appointed a Committee accordingly. The Board cannot but consider the above report and resolution as implying a reflection on their ability or official integrity. They know of no accounts under their control requiring to be audited but the accounts of the Treasurer, which they have ever considered as committed to them for that purpose; these they have regularly audited by comparing them with his receipts and vouchers for moneys paid by him, and certifying on their Minutes the balance in his hands. And by their individually signing their annual Reports to Synod (which include the Treasurer's accounts,) they concluded that they were fully audited and authenticated; they are therefore again submitted to Synod in the usual way. The Treasurer's annual account, together with the annual digest, making part of this report, will exhibit to General Synod the state of their funds. Treasurer's Account.
